By 30 June 2026, limited and additional liability companies must hold their annual general meetings of participants

In accordance with the Law of Ukraine on Limited Liability and Additional Liability Companies, all Ukrainian LLCs and ALCs are required to convene and hold an annual general meeting of participants no later than 30 June 2026.

The introduction of martial law in Ukraine does not exempt from or change the deadlines for fulfilling this obligation.

During the annual general meeting, participants should consider the following issues:

  • Approval of the сompany's annual performance results;

  • Distribution of the сompany's net profit;

  • Making a decision on the payment of dividends and their amount; and

  • If necessary, any other issues requiring a decision of the general meeting (granting consent to significanttransactions, re-election of governing bodies, etc.).

The results of the annual general meeting of participants must be formalized by a protocol, and in the event that the сompany has only one participant – by a written resolution of the sole participant.
