IMPACTA LAW advised international investment company Mutares SE & Co. KGaA on obtaining merger clearance from the Antimonopoly Committee of Ukraine in connection with its acquisition of SABIC’s Engineering Thermoplastics (ETP) business in the Americas and Europe.

With an enterprise value of USD 450 million, the transaction is the largest acquisition in Mutares’ history. It involves an international business with eight production sites, approximately 2,900 employees, and annual revenues of around USD 2.5 billion. The acquisition was completed on 4 August 2026, with the business operating under the new name NexPoint Materials.

The multijurisdictional transaction involved regulatory assessments and filing requirements across approximately 20 jurisdictions. IMPACTA LAW secured the Ukrainian merger clearance, completing the local regulatory workstream in support of the transaction.

In the broader Ukrainian context, the transaction concerns a sector whose products are used across infrastructure, energy, healthcare, industrial modernisation and high-tech manufacturing – areas directly relevant to Ukraine’s long-term reconstruction.
